♦ This fee is applied to credits designated by ARB for placement in the Forest Buffer Account.

† This fee is assessed at the time the Offset Project Operator (OPO) activates its ROCs for sale to another party or cancels its ROCs in order to be issued ARBOCs.

‡ This fee is assessed when a project that has issued ROCs has not activated or cancelled those ROCs within three months of issuance. This fee will continue to be charged quarterly thereafter until the ROCs have been activated and cancelled with the total charges not to exceed the balance due at activation/cancellation.

Verra offers favorable payment terms to account holders that meet its creditworthiness and security criteria.

Incentives for Listing Multiple Projects

An activation/cancellation fee rebate is available to Offset Project Operators who list multiple projects on the Verra Offset Project Registry. The rebate eligibility is based on: (i) the total number of projects listed within six months of the first project listing; and (ii) the aggregate total of first issuances across all of the listed projects.

Total Number of Projects Listed

 Minimum Aggregate First Issuances*

*First issuances do not include credits intended for the Forest Buffer Account.

Aggregate First Issuances (ROCs)

 Activation/Cancellation Fee

First 1.5 million

Second 1.5 million

Over 3 million

Considering the above criteria, the rebate is calculated as follows:

REBATE = [(Total first issuanceall projectsTotal bufferall projects) x $0.16] [(ROC1.5 x $0.16) + (ROC1.5-3.0x $0.14) + (ROC 3.0x $0.12)]

Total first issuanceall projects = Total of the first Registry Offset Credit (ROC) issuance.

Total bufferall projects = Total of the first ROC issuance intended for the Forest Buffer Account.

ROC1.5 = First 1.5 million of the total first ROC issuance not intended for the Forest Buffer Account.

ROC1.5-3.0 = Amount of the total first ROC issuance between 1.5 and 3.0 million not intended for the Forest Buffer Account.

ROC3.0 = Amount of the total first ROC issuance in excess of 3.0 million not intended for the Forest Buffer Account.

The rebate will be calculated and paid once all of the projects that listed within the required timeframe have cancelled their first issuance of ROCs. The table below is for illustration purposes only and demonstrates rebate calculations for different first ROC issuance volumes.

>Total First ROC Issuance (Millions)*

[(Total first issuanceallprojects Total
bufferall projects
) x $0.16]

First 1.5m (ROC1.5 x $0.16)

Second 1.5m (ROC1.5-3.0 x $0.14)

Over 3.0m (ROC3.0 x $0.12)

Total tiered ROC fees

*Does not include credits intended for the First Buffer Account.
